This Agreement is a legal contract between Wabot ("the Software") and you ("the User"). By downloading, installing, or using the Software, you agree to be bound by its terms. If you do not agree, do not install or use the Software.
Wabot is developed and provided by Felix Fang (the "Licensor"). The Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable right to install and run the Software on Windows devices belonging to you or your business, provided you have lawfully obtained an activation code or trial authorization.
The Software consists of two parts: (a) local components on the customer's Windows device (bot core, admin panel, client agent); and (b) server components operated by the Licensor (license server, AI proxy, monitoring, email delivery). Together they form a SaaS service.
The Software is offered on a subscription basis: 14-day free trial (no credit card, register for a code), after which a monthly or annual subscription is required. Accepted payment methods: PayPal, Yappy (Panama). Billing currency: USD.
After trial expiry, the activation code enters grace mode (renewal prompts shown but service continues). After 7 days of non-payment, the local software stops responding to customer messages but does not delete any local data.
Licensor will use commercially reasonable efforts to maintain server uptime of 99.0% (rolling annual average). The Software is provided "AS IS"; the Licensor does not warrant:
To the maximum extent permitted by applicable law, Licensor is not liable for any indirect, incidental, special, punitive, or consequential damages (including business loss, profit loss, or data loss). Total liability shall not exceed fees paid by the user in the 12 months preceding the event.
Customer's WhatsApp chats, customer profiles, menus, and operational data are always stored on the customer's local device; Licensor's servers store no chat content. Licensor only collects: (a) device fingerprint (anti-sharing); (b) heartbeat and version; (c) AI call metadata (no content, only token counts); (d) install logs (for diagnostics). This Agreement terminates upon: (a) your uninstallation of the Software; (b) your breach of any term; (c) 30 days after subscription expiry without renewal. Upon termination, you must stop using the Software and uninstall local components, but may retain locally exported customer data.
This Agreement is governed by the laws of the Republic of Panama. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. Disputes shall first be resolved by friendly negotiation; failing that, by arbitration at the Panama City Arbitration Center.
Licensor may update this Agreement from time to time. Updates will be published at docs.gowabot.com and announced via email at least 30 days in advance. Continued use constitutes acceptance. If you disagree, you may request a pro-rated refund before the effective date.
